These Terms of Service govern your use of savchenkoo.ca (the “Site”) and describe the general terms that apply when you engage me for web design, SEO, or paid advertising services.

Please read these Terms carefully. By accessing or using the Site, requesting a free strategy session or audit, or engaging my services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or my services.

Who I Am

I operate as a sole proprietor based in Prince George, British Columbia, Canada, serving clients across Canada and the United States. In these Terms, “I”, “me”, and “my” refer to Oleksandr Savchenko, the owner and operator of this business. “You” refers to any person or business that uses the Site or engages my services.

The Free Strategy Session and Website Audit

I may offer a free strategy session, website audit, or similar consultation. These are provided for informational purposes and carry no obligation on either side. A free session or audit does not create a client relationship, does not guarantee any specific outcome, and any suggestions I share are general observations rather than a commitment to deliver particular results. I may decline to offer, or may discontinue, any free consultation at my discretion.

Services and Separate Client Agreements

The Site describes services I offer, but it is not itself a contract for those services. Any paid engagement is governed by a separate proposal, quote, statement of work, or written agreement that sets out the specific scope, deliverables, timeline, fees, and terms of that project. If there is a conflict between these Terms and a signed client agreement, the signed client agreement controls for that engagement.

Fees, Ad Spend, and Third-Party Costs

Fees for my services are set out in the proposal or quote I provide to you. Prices shown on the Site are indicative and may change at any time; the price that applies to your engagement is the one stated in your accepted proposal.

Advertising spend is separate from my fees. The advertising budget paid to platforms such as Google Ads or Meta is billed directly to you by those platforms and is not included in my management fees. I am not responsible for amounts charged by third-party platforms, changes to their pricing, or costs you incur directly with them.

Unless your client agreement states otherwise, fees are payable as invoiced, and late or unpaid amounts may result in paused or suspended work. Refunds, cancellation, and any deposits are handled as set out in your client agreement. Because my services involve time and work performed on your behalf, fees for work already completed are generally non-refundable.

No Guarantee of Results

Marketing outcomes depend on many factors outside my control, including your market, competition, pricing, budget, responsiveness, the quality of your own service, seasonality, and the algorithms, policies, and pricing of third-party platforms.
I do not and cannot guarantee any specific result, including search rankings, traffic, lead volume, call volume, booked jobs, revenue, or return on investment. Any numbers, examples, timelines, or projections discussed on the Site or in conversation are illustrative only and are not promises. Past results do not guarantee future results.

I commit to applying my skill and effort professionally and in good faith. I do not commit to a guaranteed financial or performance outcome unless a specific, written performance term is agreed in your client agreement.

Testimonials and Case Studies

Testimonials, reviews, results, and case studies shown on the Site reflect the specific experience and circumstances of the clients featured. They are real but they are not typical, average, or guaranteed. Your results will depend on your own situation and the factors described in Section 05.

Reliance on Third-Party Platforms

My services rely on third-party platforms I do not own or control, including Google, Microsoft and Bing, Meta, and others. These platforms may change their algorithms, policies, features, pricing, or availability, or may suspend, restrict, or remove accounts, at any time and without notice. Any of these changes can affect performance and results.

I am not liable for the actions, decisions, outages, or errors of third-party platforms, including ad account suspensions, ranking changes, policy enforcement, or loss of access, except to the extent directly caused by my own gross negligence or willful misconduct.

Intellectual Property

All content on the Site, including text, design, layout, graphics, logos, and copy, is owned by me or used under license and is protected by copyright and other laws. You may not copy, reproduce, republish, distribute, or reuse any part of the Site for commercial purposes without my prior written permission.

Ownership of work I create for clients, such as websites, ad creative, and content, is governed by your separate client agreement. Unless that agreement states otherwise, I retain ownership of deliverables until all fees for the relevant work have been paid in full, and I may retain rights to underlying tools, templates, and know-how I use across projects.

Acceptable Use of the Site

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the Site, its servers, or connected systems
• Scrape, copy, or harvest content or data using automated means without permission
• Submit false, misleading, or fraudulent information through any form
• Transmit spam, malware, or any harmful or disruptive code
• Infringe the intellectual property or other rights of any person

Articles, guides, blog and insights content, and general suggestions on the Site are provided for general information only. They are not professional, legal, financial, accounting, or tax advice tailored to your situation, and you should not rely on them as such. You are responsible for your own business decisions.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and any free consultation or content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. I do not warrant that the Site will be uninterrupted, error-free, or secure, or that any content is accurate or complete.

Limitation of Liability

To the maximum extent permitted by applicable law, I will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of the Site or my services, even if I have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, my total aggregate liability for all claims arising out of or related to the Site or my services will not exceed the greater of the total fees you paid me in the three months before the event giving rise to the claim, or CAD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, or willful misconduct.

Indemnification

You agree to indemnify and hold me harmless from any claims, damages, losses, liabilities, and reasonable expenses, including legal fees, arising out of or related to your breach of these Terms, your misuse of the Site, any content or materials you provide to me, or your violation of any law or the rights of any third party.

Third-Party Links

The Site may contain links to third-party websites or services. I provide these links for convenience only and do not endorse or take responsibility for the content, products, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms.

Privacy

Your use of the Site is also governed by my Privacy Policy, which explains how I collect, use, and protect personal information. By using the Site, you consent to the practices described in that policy.

Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict of law principles. If a dispute arises, we agree to first make a good-faith effort to resolve it informally by contacting each other directly. If we cannot resolve it, the courts located in British Columbia, Canada will have jurisdiction, and you agree to that venue, except where applicable law gives you the right to bring a claim elsewhere.

General Terms

Entire agreement. These Terms, together with my Privacy Policy and any signed proposal or client agreement, form the entire agreement between us regarding the Site and supersede any prior understandings on that subject.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

No waiver. My failure to enforce any provision is not a waiver of my right to enforce it later.

Assignment. You may not assign your rights or obligations under these Terms without my written consent. I may assign these Terms in connection with a sale or reorganization of my business.

Eligibility. By using the Site or engaging my services, you confirm that you are at least the age of majority in your jurisdiction and that, if you are acting for a business, you have the authority to bind that business to these Terms.

Termination. I may suspend or terminate your access to the Site at any time, without notice, if you breach these Terms or use the Site in a way that could harm me, the Site, or others.

Force majeure. I am not liable for any delay or failure to perform caused by events beyond my reasonable control, including internet or hosting outages, third-party platform changes or suspensions, cyberattacks, power failures, natural events, or acts of government.

Survival. Provisions that by their nature should continue after these Terms end, including those on intellectual property, no guarantee of results, disclaimers, limitation of liability, indemnification, and governing law, will survive termination.

Changes to These Terms

I may update these Terms from time to time to reflect changes in my services or the law. When I do, I will revise the “Last updated” date at the top of this page. Your continued use of the Site after an update means you accept the revised Terms.
